Introduction

These Terms and Conditions ("Terms") govern the use of the website, products, and services offered by Kaira Technologies Private Limited ("Kaira Technologies", "we", "our", or "us"). By accessing our website, engaging with our team, or purchasing our products and services, you ("the client", "customer", or "user") agree to be bound by these Terms. These Terms form a legally binding agreement between Kaira Technologies and the client, and they outline the rights, responsibilities, and obligations of both parties. Clients are advised to read these Terms carefully before proceeding with any transaction or engagement.

Scope of Services

Kaira Technologies provides a comprehensive range of audio solutions that include the sale of products such as speakers, microphones, amplifiers, mixers, DSP systems, cables, connectors, racks, cabinets, wireless systems, and other accessories. Beyond sales, our services extend to consultation, design and planning, demonstration, installation and integration, quality control, warranty and extended warranty coverage, as well as support and maintenance. By engaging with Kaira Technologies, clients acknowledge that the scope of work will be defined based on their specific requirements and agreed upon in writing prior to execution.

Quotations, Pricing, and Payments

All enquiries received through our website, email, phone, or other communication channels are responded to with formal quotations prepared based on the client's stated requirements. Once a quotation has been reviewed and approved by the client, an advance payment of eighty percent (80%) of the project or order value is required to initiate procurement, integration, or installation. The balance payment, including any additional charges incurred due to changes in requirements, upgrades, or site-specific conditions, must be settled upon completion of the project or delivery. Payments are accepted through approved methods, including secure payment gateways such as Razorpay and Stripe, or other mutually agreed modes of transfer. Orders or services will only be considered confirmed upon receipt of the advance payment.

Delivery and Timelines

Delivery of products and completion of services are dependent on product availability, client location, and project-specific conditions. While Kaira Technologies endeavors to complete every delivery and installation in a timely manner, we reserve the right to adjust timelines due to factors beyond our control, including OEM procurement delays, logistics challenges, or unforeseen site-related constraints. Clients will be informed of any anticipated delays, and Kaira Technologies will make reasonable efforts to minimize disruption. Ownership of products transfers to the client upon successful delivery and final settlement of payments.

Warranty and After-Sales Support

All products sold by Kaira Technologies carry the default manufacturer's warranty provided by the Original Equipment Manufacturer (OEM). In addition, Kaira Technologies may extend this coverage by offering an additional two years of warranty on selected products, subject to specific agreements with clients. Warranty coverage applies strictly to manufacturing defects and internal malfunctions. It does not extend to accidental damage, water damage, power surges, unauthorized third-party modifications, or misuse. Clients may raise warranty claims by contacting support@kairatech.com, following which Kaira's technical team will inspect and verify the reported issue. Approved claims will be processed in alignment with OEM guidelines, and refunds or replacements, where applicable, will be initiated within seven to ten working days.

Client Responsibilities

Clients are expected to provide accurate information when submitting enquiries or finalizing orders. They must also ensure that project sites are prepared for installation and that conditions are suitable for equipment integration. Any third-party modifications, mishandling, or misuse of the equipment provided by Kaira Technologies will result in warranty exclusions and may impact service delivery. Clients are also responsible for covering costs related to return shipping or transportation of products in the event of returns or service claims.

Intellectual Property

All trademarks, logos, technical designs, and materials displayed on Kaira Technologies' website or issued as part of project documentation remain the property of their respective Original Equipment Manufacturers (OEMs) or authorized distributors. Kaira Technologies is an officially authorized reseller and integrator of these products and has the rights to procure, sell, and integrate such equipment for end clients. Clients may not reproduce, modify, or misuse any intellectual property associated with the products or services offered by Kaira Technologies without prior authorization.

Limitation of Liability

Kaira Technologies is dedicated to delivering high-quality products and services, but we expressly disclaim liability for damages arising from misuse, negligence, or unauthorized third-party alterations to the equipment. We are not responsible for consequential or incidental damages, including but not limited to loss of business, downtime, or data loss, resulting from product failures or delays in project execution. Our liability, in any case, shall be strictly limited to the value of the products or services purchased by the client under the applicable transaction.

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising out of or in connection with the interpretation, application, or enforcement of these Terms shall fall under the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.

Amendments and Updates

Kaira Technologies reserves the right to update or revise these Terms at any time, without prior notice, to reflect changes in our business processes, compliance requirements, or industry standards. Clients are encouraged to review these Terms periodically to remain informed about their rights and obligations. Continued use of our website or services following the publication of updated Terms constitutes acceptance of such modifications.
